October 2024: Imperial Brands initiates the first buyback tranche of up to £625 million

As part of the multi-year buyback program, Imperial Brands announced on October 8, 2024 that it intends to repurchase up to £1.25 billion of shares in the period to 29 October 2025. The program is guided by Imperial’s policy to distribute surplus capital to shareholders while maintaining a leverage at the lower end of its 2.0-2.5x range and a progressive dividend policy. The purpose of the share repurchase program is to reduce the share capital of Imperial Brands and all repurchased shares will be cancelled.

To execute the first tranche of the £1.25 billion program, Imperial Brands appointed Morgan Stanley to buy back up to £625 million of its shares commencing from 30 October 2024 and expected to end no later than 29 April 2025. Under this arrangement, Morgan Stanley will make share purchasing decisions independently and purchases may continue during any closed period to which Imperial Brands is subject.

The maximum number of shares that may be repurchased under the Program is 88.8 million shares (i.e. the maximum amount authorized), less shares already repurchased since the 2024 Annual General Meeting (AGM) of Imperial Brands. Renewal of the authority to repurchase shares will be sought at the 2025 AGM.
